We pride ourselves on honourable, open and honest transactions with our customers but occasionally things go wrong and it is important that you understand your rights.

2. An order placed by a customer constitutes an offer to buy a Product subject to acceptance by Rainbow Products Limited. This contract only relates to Products in-stock.

3. To place an Order you must be 18 years of age or over, be accessible by telephone and have a valid email address. You may place an order by: filling in the order form on the Website and clicking on the appropriate submission button. Rainbow Products Limited will not accept orders placed in any way other than those listed above.

4. When you place your order, Rainbow Products Limited will send confirmation with an Order Number. Rainbow Products Limited will do this via an email. Please note that such an Order Number is supplied for reference purposes only and does not constitute our acceptance of your order.

5. By placing an order, you make an offer to us to purchase the Products you have selected on these terms and conditions. Rainbow Products Limited may or may not accept your offer at our discretion or may reduce the number of Products we accept to deliver to you. However, orders submitted by you are binding on you and cannot be cancelled after order submission.

6. If Rainbow Products Limited accepts your order, we will notify you of our acceptance by issuing an order confirmation. Rainbow Products Limited will send your order confirmation to you by e-mail. The order confirmation will be effective as of the date on which the order confirmation is sent to you. If we cannot accept your order, we will attempt to contact you by email or telephone.

7. Please note that the on-screen display of the colours, designs, products may differ from the actual appearance or size of products offered on the Website.

8. Rainbow Products Limited will deliver the Products to the delivery address you have specified in the order form and in accordance with the delivery option you have chosen. In the event you order various Products to be delivered to different addresses, you will need to submit a separate order for each delivery address. Any delivery or shipment dates given by Rainbow Products Limited are best estimates only and Rainbow Products shall not be liable for any loss, damage, costs or expenses for failure to deliver in accordance with the delivery or shipment dates given. In the event that any of the Products ordered are out of stock, this may mean the whole order is delayed. If so, an estimate of the delay will be given by e-mail but delivery shall in any case be made within thirty (30) days as of the date indicated on the order confirmation by Rainbow Products Limited.

9. Title to and risk of loss in your Products will pass to you on delivery of the Products.

10. Prices shall be those prices published on this Website at the time you submit your order. The prices published on the Website are inclusive of Taxes where applicable but may be exclusive of shipping costs, which are for your account. These costs will be calculated separately as applicable and specified on the order form and added to the total price of the order. The total price stated on the order form you submit shall be the total amount payable by you for the products including shipping.

11. If, by mistake, we have under priced a product, we will not be liable to supply that product to you at the stated price, provided that we notify you before we despatch the product to you. In those circumstances, we reserve the right to cancel your order. In the event we cancel your order, we will give you a full refund on any amount already paid for that product in accordance with our return and refund policy.

12. Delivery costs, where applicable, are payable by you as indicated on your order confirmation.

13. You may pay for your Products by the methods of payment as may be displayed at the Website checkout. You must pay in the currency as indicated on your invoice.

14. If you are paying by credit or debit card, then you must supply your credit or debit card details when you place your Order. Rainbow Products Limited will not supply the Products to you until your credit or debit card issuer has authorised the use of your card for payment of the Products ordered. If Rainbow Products Limited does not receive such authorisation we shall inform you accordingly. Rainbow Products Limited reserves the right to verify the identity of the credit or debit card holder by requesting appropriate documentation.

15. Any liability is strictly limited to the purchase price of that Product. We also warrant that the Product will be of satisfactory quality.

You may return the Product to Rainbow Products Limited or cancel the entitlement to services and obtain a refund of the price of the returned Product provided that you contact us within the stipulated working days for refunds and returns as mentioned within each product promotion, from the day after the goods are delivered. Although you will have to pay the cost of returns, the refund will include the full value of both the product and the original delivery cost. If a product is sold as part of a product combination (bundle) in which other products are offered for free or at a discount compared to their normal price, the bundled product must at Rainbow Products Limited request be returned with the product purchased. Rainbow Products Limited reserves the right to raise an invoice in respect of any free or discounted bundles product not so returned. Opened boxes and used products may not be accepted back and/or may not attract a full refund. The exact decision will depend on the product and other details and shall be communicated to you on a case to case basis.

17. Rainbow Products Limited will not be liable where we fail to perform on a contract due to events outside our own control due to a Force Majeure Event.

18. The complete terms and conditions document below and any other documents referenced represent the entire agreement between you and us.

19. We have the right to revise and amend these terms and conditions from time to time.

20. You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the materials or content on www.rainbowproducts.co.uk; (or subdomains thereof) without written permission from us.

21. Our Products are not intended to treat, cure or prevent any disease, nor is the information supplied in our magazine/catalogue or other promotional material intended to replace the individual advice available from your own doctor.

5. AVAILABILITY AND DELIVERY

5.1 You acknowledge and agree that it is your responsibility to arrange for a courier to deliver the Products to you.

5.2 Rainbow Products Limited is willing on your invitation and as your agent to instruct the relevant courier or delivery service provider, to deliver the relevant Products on your behalf for the prices set out below (“Delivery Rate”). By placing an order with Rainbow Products Limited you agree that you take up this option.

Delivery Rates are as mentioned on our website against each product(s) or offers.

Rainbow Products Limited will (unless you instruct us otherwise) collect payment of the Delivery Rate from you, and as your agent pay such amount to the relevant delivery partner or courier service (as appropriate).

Any liability in connection with such delivery shall be between the relevant delivery partner or courier service (as appropriate) and you, and shall not involve Rainbow Products Limited.

5.3 Delivery of an order will be within 14 days.

5.4 Rainbow Products Limited will deliver the Products to the delivery address you have specified in the order form and in accordance with the delivery option you have chosen. In the event you order various Products to be delivered to different addresses, you will need to submit a separate order for each delivery address. Any delivery or shipment dates given by Rainbow Products Limited are best estimates only and Rainbow Products Limited shall not be liable for any loss, damage, costs or expenses for failure to deliver in accordance with the delivery or shipment dates given. 6. RISK AND TITLE

6.1 Title to and risk of loss in your Products will pass to you on delivery of the Products.

7. PRICE AND PAYMENT

7.1 Prices shall be those prices published on this Website at the time you submit your order. The prices published on the Website are inclusive of Taxes where applicable but may be exclusive of shipping costs, which are for your account. These costs will be calculated separately as applicable and specified on the order form and added to the total price of the order. The total price stated on the order form you submit shall be the total amount payable by you for the products including shipping.

7.2 If, by mistake, we have under priced a product, we will not be liable to supply that product to you at the stated price, provided that we notify you before we despatch the product to you. In those circumstances, we reserve the right to cancel your order. In the event we cancel your order, we will give you a full refund on any amount already paid for that product in accordance with our return and refund policy.

If Rainbow Products Limited does not receive such authorisation we shall inform you accordingly. Green Earth Products reserves the right to verify the identity of the credit or debit card holder by requesting appropriate documentation.

8. OUR LIABILITY

8.1 We warrant to you that any Product purchased from us through our Site is of satisfactory quality. We are under a legal duty to supply Products to consumers that are in conformity with the Contract and will be liable for any defective goods as required by law.

8.2 Our liability in connection with any Product purchased through our Site is strictly limited to the purchase price of that Product.

8.3 We accept no liability for any loss or damage caused by us or our employees or agents:

8.3.1 where there is no breach of a legal duty of care to you by us or by any of our employees or agents;

8.3.2 where such loss or damage is not a reasonably foreseeable result of any such breach;

8.3.3 for any increase in loss or damage resulting from breach by you of any terms of this contract.

9. IMPORT DUTIES AND TAXES

9.1 For Products delivered to a final destination outside the UK, the Products may be subject to import duties and taxes which will be levied when the Products reach the specified destination. You will be responsible for payment of any such import duties and taxes. Please note that we have no control over these charges and cannot predict their amount. Please contact your local customs office for further information before placing your order.

9.2 Please also note that you must comply with all applicable laws and regulations of the country into which you import the Products. We will not be liable for any breach by you of any such laws.

10. WRITTEN COMMUNICATIONS

10.1 Applicable laws require that some of the information or communications we send to you should be in writing. When using our Site, you accept that communication with us will be mainly electronic. 12. NOTICES

All notices given by you to us must be given to Green Earth Products Ltd. at the registered address or greenearthproducts.uk@gmail.com. We may give notice to you at either the e-mail or postal address you provided to us when placing an order. Notice will be deemed to have been received and properly served immediately when posted on our Site, 24 hours after an e-mail is sent, or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a greenearthproducts.uk@gmail.com letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an e-mail, that such e-mail was sent to the specified e-mail address of the addressee.

13. TRANSFER OF RIGHTS AND OBLIGATIONS

13.1 The Contract is binding on you and us and on our respective successors and assigns.

13.2 You may not transfer, assign, charge or otherwise dispose of a Contract, or any of your rights or obligations arising under it, without our prior written consent.

13.3 We may transfer, assign, charge, sub-contract or otherwise dispose of a Contract, or any of our rights or obligations arising under it, at any time during the term of the Contract.

14. EVENTS OUTSIDE OUR CONTROL

14.1 We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by events outside our reasonable control (“Force Majeure Event”).

14.2 A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:

14.2.1 Strikes, lock-outs or other industrial action.

14.2.2 Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war.

14.2.3 Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster or circumstances beyond our control.

14.2.4 Impossibility of the use of public or private telecommunications networks.

14.2.5 The acts, decrees, legislation, regulations or restrictions of any government.

14.2.6 Our performance under any Contract is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under the Contract may be performed despite the Force Majeure Event.

15. WAIVER

15.1 If we fail, at any time during the term of a Contract, to insist upon strict performance of any of your obligations under the Contract or any of these terms and conditions, or if we fail to exercise any of the rights or remedies to which we are entitled under the Contract, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations.

15.2 A waiver by us of any default shall not constitute a waiver of any subsequent default.

15.3 No waiver by us of any of these terms and conditions shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing in accordance with paragraph 12 above.

16. ENTIRE AGREEMENT

16.1 These terms and conditions and any document expressly referred to therein represent the entire agreement between you and us in relation to the subject matter of any Contract and supersede any prior agreement, understanding or arrangement between us, whether oral or in writing.

16.2 You and we each acknowledge that, in entering into a Contract, neither of us has relied on any representation, undertaking or promise given by the other or implied from anything said or written in negotiations between us prior to such Contract except as expressly stated in these terms and conditions.

16.3 Neither you nor us shall have any remedy in respect of any untrue statement made by the other, whether orally or in writing, prior to the date of a Contract (unless such untrue statement was made fraudulently) and the other party’s only remedy shall be for breach of contract as provided in these terms and conditions.

16.4 The headings in these terms and conditions are for convenience only and have no legal or contractual effect. These terms and conditions operate to the fullest extent permissible by law.

16.5 If any provision of these terms and conditions is found to be unlawful, void or unenforceable, that provision is deemed severable from these terms and conditions and does not affect the validity and enforceability of any remaining provisions.

17. OUR RIGHT TO VARY THESE TERMS AND CONDITIONS

17.1 We have the right to revise and amend these terms and conditions from time to time.

17.2 You will be subject to the policies and terms and conditions in force at the time that you order Products from us, unless any change to those policies or these terms and conditions is required to be made by law or governmental authority (in which case it will apply to orders previously placed by you), or if we notify you of the change to those policies or these terms and conditions before we sell you the Products (in which case we have the right to assume that you have accepted the change to the terms and conditions, unless you notify us to the contrary within seven working days of receipt by you of the Products).

18. LAW AND JURISDICTION
